1. Job purpose
To provide legal advice and support to the Bank on a wide range of legal matters, including contracts, compliance, intellectual property, and regulatory issues.
2. Special/personal abilities
- In-depth knowledge of relevant laws and regulations.
- Analytical skills to assess legal risks and implications.
- Excellent written and verbal communication skills.
- Research abilities to gather relevant legal precedents and information.
- Attention to detail and accuracy in legal documentation.
- Negotiation and conflict resolution skills.
- Ability to provide legal advice and guidance to the organization.
3. Key responsibilities
- Draft, review, and negotiate a variety of contracts and agreements, including vendor contracts, client agreements, and partnership agreements.
- Provide legal advice and guidance to internal stakeholders on contract interpretation, risk assessment, and compliance issues.
- Monitor changes in laws, regulations, and legal trends that may impact the organization and provide recommendations for compliance.
- Prepare and maintain legal documentation, including corporate records, contracts, and regulatory filings.
- Respond to legal inquiries and requests from internal and external stakeholders in a timely and professional manner.
- Collaborate with cross-functional teams, including finance, operations, and human resources, to address legal issues and support business initiatives.
- Ensure that the organization’s activities and operations are conducted in compliance with applicable laws, regulations, and ethical standards.
- Assist as directed with all administration duties of the Office of Company Secretariat (not limited to preparation of Board packs, assisting to draft minutes of Board committee meetings).
- Conduct any primary legal research required for purposes of preparing legal opinions.
- Receive all mail that is sent to the Legal Department, bring it to the attention of the General Manager.
- Track and record all work in progress/deadlines/responsibilities/projects of the Bank’s Legal Advisor/Advocate, preparing and maintaining trackers for any work as directed.
- Keep and maintain a register of all contracts that the bank is party to, specifically excluding contracts for credit facilities with the Bank’s customers.
- Keep and maintain a register of all litigation instructions handled to external legal panel firms.
- Assist to review and provide legal advice on tender documents and procurement processes.
- Assist Finance and Administration Manager/HR Manager to provide training and support to the business on relevant legal risk management aspects, as appropriate.
- Ensure an up-to-date and relevant knowledge of principal areas of the law and practice in all commercial law areas relevant to the business needs of the Bank.
- Perform other legal tasks and responsibilities as assigned by senior management.
4. Know-how and experience
4.1 Qualification and requirement
- Bachelor’s Degree in Law (LLB) from a recognized university.
- School of Law certificates/attendance is an added advantage.
- Minimum of 2 years working experience (with at least 1 year of commercial work experience, including company secretarial work).
